This Privacy Policy applies to any user or visitor of Takara Bio USA, Inc.’s (“TBUSA”) website, www.takarabio.com and mobile applications that include a direct link to the Privacy Policy (collectively, the “Sites”). We take your privacy seriously. This Privacy Policy informs you of our policies and practices regarding the collection and use of your personal information, and it sets forth your privacy rights.
Information We Collect
A “Natural Person”, as described by privacy laws, is a human being as opposed to a corporate entity. TBUSA only conducts business-to-business sales, meaning that we do not sell products directly to Natural Persons, but rather to companies and institutions. In the course of our business-to-business sales, we may collect information on Natural Persons such as you who are acting in the capacity as a representative or employee of their organization. This is the information we collect.
Personal Information. We collect personal information that, directly or indirectly, identifies you such as your name, title, organization, the address of your organization, your business telephone number, and your business email address (“Personal Information”).
Financial Information. Typically, persons accessing our website to make payments use their organization’s financial information to make payments. However, if you elect to use your personal credit card as a method of payment for your organization, we may collect your credit card number and related information.
Job Application Information. We may collect your resume, Personal Information, employment history, answers to job application questions, requested information you submit for a job opening that is posted on our website, and any data collected while on the website.
Automated Information. As is true of most other websites and mobile applications, the TBUSA Sites collect certain information automatically and stores it in log files. The information may include internet protocol (IP) addresses, the region or general location where your computer or device is accessing the internet, browser type, operating system and other usage information about the use of our website, including a history of the pages you view.
Through Cookies and Other Similar Technologies. “Cookies” include commonly used pieces of information in the form of small files that are placed on an individual’s device to enable the individual to more easily communicate and interact with the Sites. When you visit our Sites, we may send one or more cookies to your device. They enable us to store information about your device which helps us, amongst other things, to provide you with a good experience when you browse our Sites and enhance the level of services and functions provided. We also use third parties to serve advertisements on other Sites that may be of interest to you, based on information collected about your use of our Sites and other websites. Do Not Track. Our website does not support Do Not Track settings ("DNT") at this time. How We Use Personal Information
TBUSA will not use your Personal Information for any purpose other than the purpose for which it was originally obtained without your prior consent. We use your Personal Information to communicate with you as a representative of your organization and to provide support to your organization regarding our products and services. TBUSA uses third-party service providers to process your Personal Information to perform some of these functions or services on our behalf.
TBUSA and our third-party service providers may use your Personal Information and data to:
- Contact you via e-mail or by telephone regarding your order, your organization’s account status, your inquiries, and information about our products and services
- Process and fulfill orders made by your organization
- Respond to your organization’s requests and inquiries about our product and services
- Send you marketing communications that we believe may be of interest to your organization
- Personalize your experience on the Sites by presenting products and offers tailored to you
- Process your job application which you submit for a job posting online.
How We Share Information with Others
We do not rent, sell, or share your Personal Information about you with other people or nonaffiliated companies for their direct marketing purposes.
When we transfer your information to third-party service providers, we contractually require our providers to maintain the privacy, confidentiality and security of the Personal Information and data. We take steps to ensure that these parties take protecting your privacy as seriously as we do.
Other Types of Third-Party Service Providers. We also engage third parties to perform services on our behalf such as software maintenance services, hosting services, email service providers, database management, web analytics, and other services.
Credit Card Processors. When you enter your credit card information, we transmit your information for processing using secure data transmission services (i.e., credit card information is encrypted). The third-party processor does not store any credit card data associated with any purchases processed on the website.
Marketing Support Services. Like many companies, we contract with third parties to provide customer relationship management (“CRM”) tools for marketing purposes. Typically, these CRM tools are available for our use through a cloud-based platform (such as Salesforce). We engage third parties to provide CRM tools that compile customer Personal Information and data that may be collected through various channels, such as through the Sites, telephone, direct mail, marketing materials.
Law Enforcement and Internal Operations. Personal Information may be provided where we are required to do so by law, or if we believe in good faith that it is reasonably necessary (i) to respond to claims asserted against TBUSA or to comply with the legal process (for example, discovery requests, subpoenas or warrants); (ii) to enforce or administer our policies and agreements with users; (iii) for fraud prevention, risk assessment, investigation, customer support, product development and de-bugging purposes; or (iv) to protect the rights, property or safety of TBUSA, its users or members of the general public. We will use commercially reasonable efforts to notify users about law enforcement or court ordered requests for data unless otherwise prohibited by law. However, nothing in this Privacy Policy is intended to limit any legal defenses or objections that you may have to any third-party request to compel disclosure of your information.
Affiliates and Business Transfer. We may share your Personal Information with our parent, subsidiaries and affiliates. TBUSA may also sell, transfer or otherwise share some or all of its assets, including your Personal Information, in connection with a merger, acquisition, reorganization or sale of assets or in the event of bankruptcy. Under such circumstances, TBUSA will use commercially reasonable efforts to notify its users if their Personal Information is to be disclosed or transferred and/or becomes subject to a different privacy policy.
Your Rights Choices
Right to Review and Rectify Your Personal Information. You may access your account at any time to correct, update, or delete inaccuracies by logging into your account through our Sites. If additional assistance is required to change or delete inaccuracies within your Personal Information or you would like to know what information about you was collected, please complete the relevant form at this location: Privacy Request. We reserve the right to charge for copies of data requested.
Right to Delete Personal Information or Withdraw Consent. You have the right to withdraw consent where such consent is required to share or use Personal Information. You may request that we delete your Personal Information. If you receive communications from us and no longer wish to receive them, please follow the opt out or removal instructions in the email. To delete your Personal Information, request a copy of the information we have or to correct any errors in your data, please complete the relevant form at: Privacy Request. Since your Personal Information is required for us to provide the services or to you, deleting it will also terminate your access to the services. We may be required by law, to retain it to exercise or defend legal claims, or contractual obligations with our customers to retain some information in connection with our obligation to provide the services. We may de-identify and anonymize some data for purposes of retaining it.
Right to Object to or Restrict Processing. You also have the right to object to any use of your Personal Information and request that that TBUSA restrict processing of your Personal Information. To do so, please complete the relevant form at Privacy Request.
Data Portability. If you would like us to transmit your Personal Information to another company providing similar services and we are required to so by law, we will work with them to do so upon request and verification of such request with both the requestor and the company receiving the Personal Information.
Right to Redress. If you are located in the European Economic Area and you believe we have violated any data protection laws, you may file a complaint directly to your local Data Protection Authority (also known as the “DPA”).
You may also have the right to make a GDPR complaint to the relevant Data Protection Authority. A list of National Data Protection Authorities is available here:

If you need further assistance regarding your rights, please contact us using the contact information provided below and we will consider your request in accordance with applicable law. In some cases, our ability to uphold these rights for you may depend upon our obligations to process personal information for security, safety, fraud prevention reasons, compliance with regulatory or legal requirements, or because processing is necessary to deliver the services you have requested. Where this is the case, we will inform you of specific details in response to your request.
Right to Nondiscriminatory Treatment. You have the right to exercise any of the above rights without fear of retaliation or discriminatory treatment from TBUSA. TBUSA will not discriminate against or otherwise provide any differential treatment to any person who submits a request to exercise their rights. Communication. We will provide you reasonable mechanisms to exercise your choice regarding receipt of information from TBUSA. Data Storage and Retention
Your Personal Information is stored by TBUSA on its servers, and on the servers of the cloud-based database management services TBUSA engages, located in the United States. We will retain and use your Personal Information for as long as your account is active, as needed to provide you services, or as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.

Security
The security of your Personal Information is important to us. To help protect privacy and personal information you transmit through use of our Sites, we maintain physical, technical and administrative safeguards. We take reasonable and appropriate measures to protect your Personal Information from loss, misuse and unauthorized access, disclosure, alteration and destruction by taking into due account the risks involved in the processing and the nature of the personal data. For example, we encrypt your credit card number when you provide such information to us for processing your orders.
We restrict access to your Personal Information to those employees who need to know that information to provide benefits or services to you. In addition, we train our employees about the importance of confidentiality and maintaining the privacy and security of your information. However, because no security system can be 100% effective, we cannot completely guarantee the security of any information we store, process or transmit.

This website contains links to websites of other organizations. Unless otherwise specified, linkage to these other websites does not imply any relationship, sponsorship, or affiliation between TBUSA and these linked websites, nor does it imply any adoption or approval of the content of such websites. TBUSA does not have control over the policies or practices of these websites and is not responsible for their privacy practices or their content.
Data Integrity
TBUSA will use your Personal Information only for the purposes for which it was collected, unless you provide prior consent. We will take reasonable steps to ensure that personal information is relevant to its intended use, accurate, complete, and current.
International Transfer
If you provide Personal Information to us directly, we will transmit your data, including all your Personal Information, to the United States in order to fulfill our contractual obligations to you.
TBUSA will conduct compliance audits of its relevant privacy practices to verify adherence to this Privacy Policy. Any employee that TBUSA determines is in violation of this Privacy Policy will be subject to disciplinary action.
EU-U.S., UK Extension to EU-US, and Swiss-US Data Privacy Framework
TBUSA complies with the EU-U.S. Data Privacy Framework (EU-U.S. DPF), the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. Data Privacy Framework (Swiss-U.S. DPF) as set forth by the U.S. Department of Commerce. TBUSA has certified to the U.S. Department of Commerce that it adheres to the EU-U.S. Data Privacy Framework Principles (EU-U.S. DPF Principles) with regard to the processing of personal data received from the European Union in reliance on the EU-U.S. DPF and from the United Kingdom (and Gibraltar) in reliance on the UK Extension to the EU-U.S. DPF. TBUSA] has certified to the U.S. Department of Commerce that it adheres to the Swiss-U.S. Data Privacy Framework Principles (Swiss-U.S. DPF Principles) with regard to the processing of personal data received from Switzerland in reliance on the Swiss-U.S. DPF. If there is any conflict between the terms in this privacy policy and the EU-U.S. DPF Principles and/or the Swiss-U.S. DPF Principles, the Principles shall govern. The Federal Trade Commission has jurisdiction over TBUSA’s compliance with the EU-U.S. Data Privacy Framework (EU-U.S. DPF) and the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. Data Privacy Framework (Swiss-U.S. DPF).
Pursuant to the Data Privacy Frameworks, EU, UK and Swiss individuals have the right to obtain our confirmation of whether we maintain personal information relating to you in the United States. Upon request, we will provide you with access to the personal information that we hold about you. You may also correct, amend, or delete the personal information we hold about you. An individual who seeks access, or who seeks to correct, amend, or delete inaccurate data transferred to the United States under the Data Privacy Framework, should direct their query to privacy@takarabio.com. If requested to remove data, we will respond within a reasonable timeframe.
We will provide an individual opt-out choice, or opt-in for sensitive data, before we share your data with third parties other than our agents, or before we use it for a purpose other than which it was originally collected or subsequently authorized. To request to limit the use and disclosure of your personal information, please submit a written request to privacy@takarabio.com.
In certain situations, we may be required to disclose personal data in response to lawful requests by public authorities, including to meet national security or law enforcement requirements.
TBUSA’s accountability for personal data that it receives in the United States under the Data Privacy Framework and subsequently transfers to a third party is described in the Data Privacy Framework Principles. In particular, TBUSA remains responsible and liable under the Data Privacy Framework Principles if third-party agents that it engages to process the personal data on its behalf do so in a manner inconsistent with the Data Privacy Framework Principles, unless TBUSA proves that it is not responsible for the event giving rise to the damage.
Recourse, Enforcement, and Liability
In compliance with the EU-U.S. Data Privacy Framework (EU-U.S. DPF), the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. Data Privacy Framework (Swiss-U.S. DPF), TBUSA commits to resolve complaints about our collection or use of your personal information transferred to the U.S. pursuant to the EU-U.S. DPF, the UK extension to the EU-U.S. DPF, and the Swiss-U.S. DPF. In compliance with the EU-U.S. DPF, the UK Extension to the EU-U.S. DPF and the Swiss-U.S. DPF, TBUSA commits to cooperate and comply respectively with the advice of the panel established by the EU data protection authorities (DPAs), the UK Information Commissioner’s Office (ICO) and the Gibraltar Regulatory Authority (GRA), and the Swiss Federal Data Protection and Information Commissioner (FDPIC) with regard to unresolved complaints concerning our handling of personal data received in reliance on the EU-U.S. DPF, the UK Extension to the EU-U.S. DPF and the Swiss-U.S. DPF.

Your California Privacy Rights
California residents who have an established business relationship with TBUSA may make a written request to TBUSA about whether we have disclosed any Personal Information to any third parties for the third parties' direct marketing purposes during the prior calendar year. Changes and Updates to the Privacy Policy
As our company changes from time to time, this Privacy Policy is expected to change as well. We reserve the right to amend the Privacy Policy, for any reason, without notice to you, other than the posting of the amended Privacy Policy. We may send you an email reminder of our notices and material changes, but you should check our website frequently to see the current Privacy Policy is in effect and any changes that may have been made to it.

CALIFORNIA JOB APPLICANT PRIVACY POLICY AND NOTICE
TAKARA BIO USA, INC. (“TBUSA”)

TBUSA takes your privacy seriously. We want TBUSA job applicants that reside in the state of California (“CA Applicants”, also referred to herein as “You”) to know how we collect and use their Personal Information and Sensitive Personal Information.
Under California’s California Consumer Privacy Act (“CCPA”) and California Privacy Rights Act (“CPRA”), Personal Information is any type of information that may be used to identify or could be linked, directly or indirectly, to an individual or household. Sensitive Personal Information is a type of Personal Information that receives heightened protection under the CPRA and includes and includes: (a) social security, driver's license, state identification card, or passport number; (b) account log-in, financial account, debit card, or credit card number in combination with any required security or access code, password, or credentials allowing access to an account; (c) precise geolocation data; (d) racial or ethnic origin, religious or philosophical beliefs, or union membership; (e) the contents of a consumer’s mail, email, and text messages unless the business is the intended recipient of the communication; (f) genetic data; (g) biometric data; (h) health data; and (i) sex life or sexual orientation data.
TBUSA reserves the right to change, modify and update this California Job Applicant Privacy Policy and Notice from time to time by posting a revised version on our website and by revising the "Effective Date" at the top of this Policy. At any time, this California Job Applicant Privacy Policy will cover our practices for the preceding 12 months.
The CCPA and CPRA provide CA Applicants with certain rights with respect to their Personal Information and Sensitive Personal Information. These rights include:
- The Right to Know. This right encompasses two distinct rights: 1) the right to know how TBUSA collects, discloses, and processes Personal Information, which we address in this Employee Privacy Policy and 2) the right to copies of “specific Personal Information.”
- The Right to Delete. This right provides CA Applicants the ability to delete Personal Information they provide to TBUSA, provided that the deletion of this information is not in conflict with any other laws and obligations.
- The Right to Correct. This right provides CA Applicants the ability to correct objectively inaccurate Personal Information.
- The Right to Access Information on Automated Decision-Making: This right provides CA Applicants the right to access information collected through automated decision-making. Additionally, you can opt-out of our use of automated decision-making related to your Personal Information. TBUSA does not perform automated decision making on any CA Applicant’s Personal Information.
- The Right to Limit Use of Sensitive Personal Information. This right allows CA Applicants to restrict uses to their Sensitive Personal Information to a certain set of exempted purposes.
- The Right to Non-Retaliation. This right protects CA Applicants who assert the above rights. TBUSA will not retaliate or discriminate against any CA Applicant who exercises any of these rights.
Where We Get Your Personal Information From.
TBUSA collects Personal Information about you from the following sources:
- You, for example, in your application, forms you fill out for us, assessments you complete, surveys you submit, and any information you provide during the course of your relationship with us.
- Vendors and service providers, for example, law firms.
- Third parties, for example, job references, business partners, professional employer organizations or staffing agencies, insurance companies, drug-testing companies, background check companies.
- Public internet sources, for example, social media, job boards, public profiles, and other public online sources
- Public records, for example, court records, and credentialing and licensing organizations.
- Surveillance or recording technologies installed by TBUSA, for example, video surveillance in common areas of TBUSA facilities, GPS technologies, voicemail technologies, webcams, audio recording technologies, and blue-tooth technologies, any of these with consent to the extent required by law.
- Government or administrative agencies, for example, law enforcement, public health authorities, California Department of Industrial Relations, Employment Development Department.
The Personal Information That We Are Collecting.
TBUSA is collecting and may collect the following Personal Information from CA Applicants:
- Identifiers, for example: real name, alias, telephone number, postal address, e-mail address, signature, bank account name and number for direct deposits, passport number, driver’s license or state identification card number, Social Security Number (“SSN”), passport number, federal identification authorizing work in the United States, and photographs.
- Professional or Employment-Related Information, for example: educational institutions attended, degrees and certifications, licenses, work experience and previous employers, professional memberships and affiliations, union representation, seniority, training, employment start and ending dates, and job title.
- Non-public educational information, for example: academic transcripts.
- Sensory or Surveillance Data, for example: voicemails, recordings of meetings or videoconferences, and footage from video surveillance cameras.
- Preferences, for example: hobbies and leisure activities, membership in voluntary, charitable and public organizations
- Characteristics of protected classifications under California or Federal law for employees, for example: race, age, national origin, disability, sex, and veteran status as necessary to comply with legal obligations and to support diversity and inclusion programs; disability, medical condition, and pregnancy, childbirth, breastfeeding, and related medical conditions, as necessary to comply with Federal and California law related to leaves of absence and accommodation; and marital and familial status as necessary to provide benefits to employees and for tax purposes.
How Your Personal Information is Used.
All Personal Information collected from CA Applicants will be shared or used internally at TBUSA only on a need-to-know basis and only for legitimate business purposes. In the course of normal and reasonable business practices it is the policy of TBUSA to grant only designated representatives’ (e.g. Human Resources employees) access to Personal Information files. This access will not exceed that necessary to accomplish the specific business purpose for which the information was originally collected.
TBUSA’s designated representatives use and may use your Personal Information for the following business purposes:
- Recruitment of Employees and Processing and Managing Job Applications: We use your Personal Information to process your job application, create an applicant profile, evaluate your qualifications, schedule and conduct interviews and communicate with you.
- Conducting Pre-Employment Screening and Background Checks: In accordance with applicable law, we use your Personal Information to conduct employment screening and background checks.
- Maintain the Security of Our Systems and Assets: We use your Personal Information to ensure that TBUSA’s assets are protected including the app or website, services, databases and other technology assets, data, information, including intellectual property and business.
- Research, Analysis, and Business Development: We use your Personal Information to develop and improve our business processes, quality programs, website, products and services.
- Compliance with Legal Requirements and Enforcement of Our Legal Rights: We use your Personal Information to comply with applicable laws, regulations and legal processes (such as responding to subpoenas or court orders), and to respond to legal claims, resolve disputes, enforce our legal rights contained in employment or other contracts and comply with legal or regulatory recordkeeping requirements.
Sharing of Personal Information.
TBUSA’s designated representatives may share your Personal Information for the business purposes described in this California Job Applicant Privacy Policy with the following parties:
- Parent Company, Affiliates and Subsidiaries: We may share your Personal Information with our parent company (Takara Bio International), affiliates and subsidiaries.
- Governmental Authorities: As required by law or legal process, we may share your Personal Information with federal or state regulatory agencies, law enforcement, courts and other governmental authorities.
- Professional Advisors: We may share your Personal Information with our professional advisors, such as auditors and law firms.
Selling of Personal Information. TBUSA does not sell your Personal Information.
Data Retention. The Company retains the information it receives about you unless and until the Company is required by California or Federal law to delete such information.
